Por muchos años el mundo de los negocios ha funcionado de forma realmente increíble; ejecutivos que llegan apresurados a la cita en un restaurante del otro lado del mundo, directivos agotados en las salas de espera de aeropuertos internacionales o políticos acudiendo a importantes reuniones para estrechar relaciones comerciales con otros países. Y bueno, aunque viajar alrededor del mundo es maravilloso, hay de viajes a viajes, por eso alguien hizo la distinción entre los que son de placer y los que son de negocios, donde a veces tan sólo se trata de firmar un documento, comprar algún recuerdo e irnos de vuelta a nuestra oficina para continuar con el trabajo.
Afortunadamente, la introducción de nuevas tecnologías ha transformado la manera de hacer negocios. Sin embargo, estos grandes cambios vienen acompañados de nuevas normas que garantizan que se cumpla con todo lo estipulado en la ley. Tal es el caso de la NOM 151, la cual sirve para identificar los elementos que debe tener una firma electrónica o un documento digital para que sean legalmente válidos.
¿Por qué surge la norma?
Debido a la necesidad de regular el proceso para digitalizar los documentos de miles de empresas mexicanas, como su contabilidad o los relacionados con su actividad comercial, surge en 2002 la NOM 151. Derivado de su actualización en 2017, ahora la norma también contempla la regulación de firmas digitales con la emisión de constancias de conservación, pero vayamos por partes.
Si hay contrato, hay firma ¿qué hay que saber sobre la firma electrónica?
La firma de documentos de forma física y presencial todavía es la más frecuente cuando se hacen acuerdos escritos. No obstante en la actualidad la tecnología nos permite llevar a cabo este procedimiento de forma digital, al capturar mediante un dispositivo electrónico la firma autógrafa de una persona y utilizarla como válida, siempre y cuando así sea aceptado entre las partes involucradas.
Sin embargo, cuando hablamos de documentos digitales que se acuerdan de forma remota en los que tiene que haber una firma con validez jurídica, estos requieren de una firma electrónica para validar la identidad del firmante, la cual es emitida por una autoridad certificadora como el SAT y los Prestadores de Servicios de Certificación que hayan adquirido esa facultad.
Un Prestador de Servicios de Certificación es un tercero acreditado por la Secretaría de Economía, cuya tarea principal será otorgar seguridad, validez y certeza jurídica a los actos realizados a través de medios electrónicos.
La NOM 151 estipula que la firma electrónica es uno de los requisitos fundamentales para emitir una constancia de conservación de datos.
Cuando se firma un documento con la firma electrónica, ésta va acompañada de un certificado digital; a través del cual el Prestador de Servicios de Certificación garantiza la identidad del firmante y que se cumplan con los requisitos previstos en la Ley de Firma Electrónica. Sin el cumplimiento de estos requisitos, un Prestador de Servicios de Certificación no puede emitir la constancia de conservación de datos, por lo que es imposible darle validez jurídica.
¿Qué es la constancia de conservación de datos?
Una constancia de conservación de datos (conocidas como constancias NOM 151) es un documento digital que garantiza que la información electrónica, de un contrato, por ejemplo, fue producida en un tiempo determinado y con características específicas.
A través de medidas de seguridad como un sello de tiempo o la firma electrónica, se garantiza la integridad, autenticidad e inalterabilidad del mismo, lo que le da validez jurídica.
Las constancias también son emitidas por un Prestador de Servicios de Certificación acreditado por la Secretaría de Economía.
